Terms & Conditions

LotForge is a software platform, operated by Spaulding Asset Solutions d/b/a Not Just Auctions ("LotForge," "we," "us"), that provides two sets of tools:

• For auctioneers and sellers: AI-assisted tools to create, organize, and manage auction catalogs; to export catalog data to third-party auction and bidding platforms; to share catalogs via public links; and to notify interested collectors when catalogs are published.
• For collectors and buyers ("LotAlerts"): tools to save keywords and receive email notifications when catalog listings matching those keywords are published on the platform.

LotForge is not an auction house and does not conduct auctions. We do not accept or place bids, host live or timed bidding, process payments between buyers and sellers, hold funds in escrow, take possession of any items, or charge any buyer's premium or seller's commission on sales. Actual bidding, sales, payment, and delivery of items take place on third-party platforms (for example, HiBid or BidWrangler) or through arrangements made directly between the parties, entirely outside of LotForge. We are not a party to, and are not responsible for, those transactions.

You must be at least 18 years old to use the Services. By agreeing to these Terms, you represent that you are at least 18.

When you register, you select an account type — Auctioneer or Customer (collector/buyer). You are responsible for the information you provide and for all activity under your account. You are responsible for safeguarding your password and for keeping your login credentials secure. Notify us promptly of any unauthorized use of your account.

Auctioneer tools. You can create catalogs, add lots, and use AI-assisted features to generate suggested lot titles, descriptions, and estimated value ranges from information and images you provide. You can export catalog data in formats compatible with third-party auction platforms, share a public, view-only catalog link, and "Publish" a catalog to notify collectors whose saved keywords match your lots.

LotAlerts (collector tools). You can save keywords and receive email notifications — delivered as a periodic digest — when published listings match your keywords. LotAlerts is a discovery and notification tool only; it does not reserve, purchase, or guarantee the availability of any item.

We may add, change, or discontinue features at any time.

LotForge charges for use of certain features. We do not charge any buyer's premium, seller's commission, or fee on the sale price of any item — our fees are for use of the software only.

• Auctioneers pay a per-lot fee for AI cataloging, with an optional additional per-lot amount to publish lots to the LotAlerts network. Fees may be paid as you go or by purchasing prepaid lot balances, which do not expire and carry over. A separate flat fee applies to manual/bulk uploads that do not use the AI cataloging tool. New auctioneers receive an introductory allotment of free lots.
• Collectors may use LotAlerts on a free tier or upgrade to a paid subscription tier for additional saved keywords.

Current fee amounts are displayed in the application at the point of purchase and may be updated from time to time. Payments are processed by our third-party payment processor; by purchasing, you agree to their terms as well. Except where required by law, fees are non-refundable. You are responsible for any applicable taxes.

You retain ownership of the content you submit to LotForge — including item photographs, titles, descriptions, and catalog data ("Your Content"). By submitting Your Content, you grant LotForge a non-exclusive, worldwide license to host, store, process, display, and distribute it solely as needed to provide the Services (for example, to display your shared catalog, generate AI-assisted descriptions, export your catalog, and match listings to collector keywords).

You represent and warrant that you own or have all necessary rights to Your Content, and that submitting it and having LotForge process it does not infringe or violate the rights of any third party or breach any agreement or platform terms you are subject to. This applies to all methods of submission, including where you provide a link (URL) to a listing and direct LotForge to import its content: by doing so, you confirm that you own or are authorized to use that content. You are solely responsible for Your Content, and you agree to indemnify LotForge against claims arising from it.

LotForge uses artificial intelligence to generate suggested lot titles, descriptions, and estimated value ranges based on the information you provide. These outputs are drafting aids, not professional advice.

• Estimated value ranges are not appraisals and are not guarantees of value, authenticity, condition, or sale price.
• You are responsible for reviewing, correcting, and approving all AI-generated content before you use, publish, or export it.
• We do not warrant that AI-generated content is accurate, complete, or fit for any particular purpose.

The Services let you export catalog data to, and interact with, third-party platforms and services (auction/bidding platforms, email delivery, image hosting, AI providers, and payment processing). We do not control those third parties and are not responsible for their availability, content, terms, or conduct. Your use of a third-party platform is governed by that platform's own terms, and you are responsible for complying with them.

You agree not to:

• use the Services for any unlawful purpose or in violation of any applicable law;
• submit content you do not own or have the right to use;
• misrepresent items, or upload false, deceptive, or infringing listings;
• attempt to scrape, overload, disrupt, reverse-engineer, or gain unauthorized access to the Services;
• use the Services to send spam or to harvest others' information; or
• interfere with other users' use of the Services.

We may suspend or terminate accounts that violate these Terms.

The LotForge platform itself — including its software, design, text, graphics, logos, and branding (excluding Your Content) — is owned by LotForge and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from the platform without our permission.

By using LotAlerts or otherwise providing your email, you consent to receive service-related and notification emails from us, including keyword-match digests. You can manage or unsubscribe from notification emails at any time; certain essential account and transactional emails may still be sent.

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any listing will result in a sale, that any collector will find any particular item, or that any estimate, description, or match is accurate.

To the maximum extent permitted by applicable law, LotForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. In no event shall LotForge's aggregate liability exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the amount you paid us, if any, in the six months preceding the claim.

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules.
